Version 1.8 — 21 October 2026
LinguaFlex — Student Terms and Conditions
LINGUATALKS LTD trading as LinguaFlex
Key Points
This summary highlights important terms. Please read the full Terms before purchasing.
Who provides your lessons: You buy your tuition rights from LinguaFlex. Partner Schools deliver classes for us. LinguaFlex is responsible to you for the agreed tuition service.
Your Credits: Lesson Credits can be used for eligible in-person English classes and are valid for 12 calendar months from Purchase Confirmation.
Booking: Your booking is confirmed as soon as we send you a Booking Confirmation.
Cancelling a class: Cancel at least 24 hours before the class starts to get your Credits back. A later cancellation or non-attendance uses the booked Credits, except in the circumstances described in clause 7.
School cancellation: If the School cannot provide your confirmed class or an applicable Equivalent Class, we restore the affected Credits.
Cancelling a Credit purchase: You normally have a statutory 14-day cancellation right for an eligible online purchase. If you expressly request lessons during that period, you may have to pay a proportionate amount for lessons already supplied.
Credit expiry: Booking before expiry does not extend your Credits. The class must start by the relevant Credit's expiry date and time.
Eligibility: You must be legally entitled to attend your chosen class and comply with reasonable, disclosed academic and School requirements.
Problems or complaints: Contact LinguaFlex directly.
This summary does not replace the detailed Terms.
1. About LinguaFlex and these Terms
1.1 LinguaFlex is operated by LINGUATALKS LTD, a company registered in England and Wales under company number 16684217, with its registered office at 167 King Street, London, England, W6 9JT.
These Terms govern your LinguaFlex account, purchases of Lesson Credits and classes booked through LinguaFlex. "We", "us" and "our" mean LINGUATALKS LTD trading as LinguaFlex. "You" means the Student.
1.2 The following expressions have these meanings:
Partner School or School: A school directly contracted by LinguaFlex to provide tuition as our business supplier.
Eligible Class: An in-person English-language class at a Partner School's physical premises, offered for booking through LinguaFlex and meeting the applicable booking and eligibility conditions.
Lesson Credit: A prepaid contractual entitlement against LinguaFlex to book and receive Eligible Classes under the purchased package and these Terms.
Purchase Confirmation: The confirmation we issue after successful payment verification and formation of your purchase contract.
Booking Confirmation: Our confirmation that a particular class booking has been accepted.
Credit Price: The part of the price actually paid for a package attributable to a particular Lesson Credit. For equivalent Credits in one package, the default calculation is the actual package price divided by the number of Credits purchased, unless a different lawful allocation was clearly disclosed at purchase.
1.3 These Terms are intended for individual consumers buying tuition for personal use.
2. Our role and the Partner School's role
2.1 LinguaFlex sells prepaid rights to in-person English-language tuition in its own name. We are your contractual seller and are responsible to you for providing the agreed tuition service, including where a Partner School delivers the class.
2.2 We engage Partner Schools as business suppliers. They provide teachers, tuition, academic placement, classroom management and premises, and must comply with their own applicable health, safety and safeguarding duties.
2.3 Buying Lesson Credits or booking a class through LinguaFlex does not create a separate tuition sale between you and the School.
We receive your payment for our own sale, not on the School's behalf. Amounts payable by LinguaFlex to a School arise under our separate business agreement with that School.
2.4 You can contact LinguaFlex directly about classes, payments, bookings, Credits, complaints and remedies. You do not need to pursue the School first.
3. Account and eligibility
3.1 You must be at least 18 years old to create an account and make self-service bookings. You must provide accurate information and take reasonable steps to keep your account credentials secure.
3.2 Accepting these Terms, purchasing Credits and confirming a class booking are separate events. Accepting these Terms alone does not buy Credits or confirm a class.
3.3 Each account is for one person. You must not allow another person to use your account or attend a class in your place without our prior agreement.
3.4 Tell us promptly if you discover unauthorised account activity. We may carry out reasonable security checks.
4. Lesson Credits
4.1 Lesson Credits may be used only through LinguaFlex for Eligible Classes provided at directly contracted Partner Schools.
They cannot be used for online lessons, accommodation, transport, meals, tours, examinations, books, materials, certificates, visa services, external bookings or unrelated goods or services.
4.2 Credits are personal and cannot be transferred, gifted, resold or exchanged between users. They are not a general cash-withdrawal facility or an open, general-purpose wallet.
This restriction does not remove refunds or other remedies provided under clauses 5, 8, 13, 16 and 17.
4.3 Lesson Credits expire exactly 12 calendar months after Purchase Confirmation, at the date and time recorded for that purchase.
The expiry date and time will be shown in your account and Purchase Confirmation.
You may use a Credit only to book a class that starts on or before that Credit's expiry date and time. Booking a later class before the Credit expires does not extend the Credit's validity.
Restored Credits retain their original expiry date, except as provided in clause 8.2.
4.4 Different Eligible Classes may require different numbers of Credits. We show the number required before booking.
Once a class is confirmed, we will not increase its Credit cost without your agreement.
Credit requirements for future, unbooked classes may change; we show the requirement before you book.
4.5 We will send reminders to your registered email address approximately 30 days and again approximately 7 days before unused Credits expire. Your expiry information will also be available in your account.
Failure to receive or read a reminder does not, by itself, extend expiry.
4.6 Changes in the price of future Credit packages do not change the quantity or original expiry date of Credits you already purchased. Changes materially affecting your existing rights are addressed under clause 15.2.
5. Buying Lesson Credits and cancelling a purchase
5.1 Before payment, we show the identity of LINGUATALKS LTD as seller, the package selected, number of Credits, total price including applicable taxes and mandatory charges, validity period and key restrictions. We also show the Eligible Classes currently available for your indicative level. Availability can change, and a place is guaranteed only when a booking is confirmed.
The payment button will clearly state that placing the order involves an obligation to pay.
Your purchase contract is formed when we verify successful payment and issue Purchase Confirmation.
We provide your confirmation, the applicable Terms and required cancellation information by email or another legally acceptable durable medium.
5.2 If you have a statutory right to cancel a distance service contract, the normal cancellation period starts when the purchase contract is formed and ends 14 days after that day.
Booking or attending later lessons from the same package does not restart the cancellation period.
The statutory extension applies where required cancellation information has not been provided.
Cancelling a class booking under clause 7 is different from cancelling the purchase contract under this clause.
5.3 If you want lessons to start before the statutory cancellation period ends, we will request the following express statement:
"I wish to start my lessons before the 14-day cancellation period ends. I understand that, if I cancel during this period, the amount lawfully payable for lessons I have received will be deducted from my refund."
If you exercise your statutory cancellation right during that period, any permitted charge for lessons supplied following your express request will be proportionate to the service supplied up to the time you inform us of cancellation.
For packages containing equivalent Credits, the default calculation is:
Credits attributable to lessons supplied × (actual package price ÷ total Credits in the package).
5.4 To exercise your statutory cancellation right, email a clear cancellation statement to support@linguaflex.co.uk. We will confirm receipt by email.
You may use Appendix A, but you do not have to use that form.
5.5 Where a statutory cancellation refund is due, we will provide it without undue delay and no later than 14 days after receiving your cancellation notice.
Any lawful deduction under clause 5.3 may apply. We will use the original payment method unless you expressly agree otherwise, without a refund fee.
5.6 Once any applicable statutory cancellation period has ended, merely changing your mind, choosing to stop attending or holding unused Credits does not create a voluntary cash-refund entitlement.
Credits remain available during their validity period.
5.7 If payment is reversed, dishonoured or subject to a valid chargeback, we may reasonably restrict or adjust Credits related to that payment while investigating.
6. Booking a class
6.1 Before booking, we show the School delivering the class, physical location, date, start time, Credit requirement, cancellation deadline and relevant entry conditions.
6.2 Your booking is confirmed when LinguaFlex issues a Booking Confirmation. The Credits for that class are allocated to the booking at that time.
6.3 A material change to the date, start time, location, teaching mode or type of a confirmed class requires your agreement, except where the Equivalent Class rules in clause 10 apply.
If we cannot supply the agreed service, clause 8 applies.
6.4 Class times and booking/cancellation deadlines use UK local time, including applicable seasonal clock changes.
7. Student cancellation and non-attendance
7.1 If you cancel a confirmed class at least 24 hours before its scheduled start time, the booking is cancelled and its Credits are restored to your account.
Restored Credits keep their original expiry date.
7.2 If you cancel a confirmed class less than 24 hours before its scheduled start time, the Credits allocated to that booking are treated as used and are not restored, except as provided in clauses 7.5–7.6.
This rule reflects the short-notice loss of a class place reserved for you.
7.3 If you do not attend a confirmed class, its Credits are treated as used and are not restored, except as provided in clauses 7.5–7.6.
7.4 If you arrive more than 15 minutes after the scheduled start time, the School may refuse entry where reasonably necessary for teaching, classroom management or safety, provided this rule was disclosed before booking.
A justified refusal counts as non-attendance.
7.5 We may restore Credits at our discretion for exceptional circumstances, such as serious illness, bereavement or a genuine emergency.
We may ask for limited information reasonably needed to assess the request.
7.6 We do not apply the late-cancellation or non-attendance deduction where the confirmed class was not supplied because of a cancellation or other service failure by LinguaFlex or the School.
Clause 8 applies instead.
8. Service failure and remedies
8.1 If a School cancels a confirmed class or cannot provide the agreed class or an applicable Equivalent Class, we restore its Credits and take responsibility for resolving the service failure.
Academic placement and lawful-attendance issues are addressed in clauses 10.6–10.9.
8.2 Credits restored because a School cancelled or could not provide a confirmed class retain their original expiry date. However, if fewer than 30 days of validity remain when the Credit is restored, we extend that Credit's expiry to 30 days after the date of restoration.
8.3 If a class is not provided, or is not provided properly, contact us at support@linguaflex.co.uk. We will look into it and provide the remedy required by law.
8.4 The School may change the teacher of a class. A change of teacher is not a material change under clause 6.3.
9. Fees and School rules
9.1 A School may not charge a separate compulsory registration, enrolment-opening or administration fee for an Eligible Class booked through LinguaFlex.
9.2 Other unavoidable charges, if any, must be disclosed before you commit to the relevant transaction.
Optional extras must be genuinely optional and separately priced. Credits cannot be used for such extras unless expressly included.
9.3 You must comply with reasonable School rules disclosed before booking concerning academic placement, classroom conduct, premises, health, safety and safeguarding.
9.4 A School may refuse entry or remove you from a class for serious misconduct, threats, violence, material safety risks or a serious breach of properly disclosed School rules.
If the refusal or removal was justified, the Credit for that class is treated as used.
We will tell you the reasons and give you a reasonable opportunity to respond. If the refusal or removal was not justified, we restore the affected Credit.
9.5 You must not make unauthorised recordings or photographs of teachers or other students in breach of School rules or applicable privacy rights.
9.6 If you have disability-related access or learning requirements, you may contact us before booking to explore suitable arrangements with the School.
10. Academic placement and lawful attendance
10.1 CEFR means the Common European Framework of Reference for Languages. You must complete the LinguaFlex level test before your first Credit purchase. Its result, and any level shown by LinguaFlex, is indicative. The School makes the final academic placement decision.
10.2 You must give accurate information about your English level and complete properly disclosed assessments within the applicable timeframe.
Material entry requirements and mandatory assessments will be disclosed before booking where reasonably practicable.
10.3 An Equivalent Class is a class that:
is appropriate for your assessed English level;
is provided by the same School;
takes place on the same date;
starts at the same time;
uses the same delivery mode and physical location;
has the same duration; and
requires the same number of Credits.
Every condition must be satisfied.
10.4 A reasonable academic assessment does not, by itself, mean the School has cancelled a class.
If an Equivalent Class is offered and you decline it, the Student cancellation or non-attendance rules may apply.
10.5 For academic-placement purposes, a School cancellation occurs where neither the confirmed class nor an Equivalent Class can be provided.
Incorrect or incomplete level information and failure to complete a properly disclosed assessment do not automatically turn a placement problem into a School cancellation.
Immigration and legal-attendance matters are dealt with under clauses 10.6–10.9.
10.6 You must be lawfully present in the United Kingdom when attending an Eligible Class and your immigration status must permit that study.
If immigration permission is required, it must be valid and applicable.
Students studying under the Visitor route must satisfy the relevant rules on accredited institutions, study and other conditions.
10.7 You must make an accurate eligibility declaration before booking.
Where the School reasonably requires documents under applicable law or previously disclosed conditions, you must give them directly to that School by the stated deadline.
10.8 If you materially misrepresent your legal entitlement to attend a class, the School reasonably verifies that you are not entitled to attend, and admission is refused because of that misrepresentation, the Credit for that booking is treated as used and is not restored, subject to clause 10.9. This is because the place reserved for you was taken on the basis of your false declaration.
Only that booking is affected. Your other Credits are not forfeited.
10.9 Before treating a Credit as used under clause 10.8, we will:
(a) obtain the School's reasons for refusing admission;
(b) verify the connection between your declaration, your actual eligibility and the refusal;
(c) give you a reasonable opportunity to explain or correct a factual error; and
(d) distinguish a materially false declaration from missing documents, pending checks or an incorrect School assessment.
If the refusal or the false-declaration finding is later shown to be wrong, we restore the Credit or provide the appropriate remedy.
10.10 LinguaFlex does not provide regulated immigration advice or decide visa eligibility.
You are responsible for checking that your status permits the selected study.
School accreditation or the ability to book a flexible class does not guarantee your eligibility to enter or remain in the United Kingdom.
We do not sponsor visas and we do not issue visa letters, invitation letters or other immigration supporting documents.
10.11 Obtaining and keeping any visa or immigration permission you need is your responsibility. If your visa or permission is refused, delayed, cancelled or ends, this does not change these Terms and does not give you a right to a refund.
In that case, the normal rules apply: for a confirmed booking, clause 7 applies (if you cancel at least 24 hours before the class, the Credit is restored; otherwise it is treated as used). Unused Credits can be refunded only if you cancel your purchase within the statutory 14-day cancellation period under clause 5. After that period, no refund is made and unused Credits remain usable only within their validity period and while you are legally entitled to attend.
11. Attendance and complaints
11.1 Your attendance records that the class took place and that you were present.
11.2 We may consider School attendance records, booking codes, booking references, Student confirmations and other relevant evidence when reviewing a dispute.
11.3 Please notify the School promptly of urgent operational or safety issues during class.
You may raise any tuition, booking, payment, cancellation, Credit or refund complaint directly with LinguaFlex.
11.4 Send complaints to support@linguaflex.co.uk with your name, booking reference if available, and an explanation of the issue.
We will investigate your complaint and respond to you as soon as reasonably possible.
12. Personal data and marketing
12.1 We process account, contact, booking, CEFR-level, attendance and necessary eligibility-status information for account management, tuition arrangements, Credit administration and customer support.
12.2 We may share information reasonably needed to assess, arrange and deliver your selected class with the relevant Partner School.
12.3 Our separate Privacy Notice explains the purposes, legal bases, recipients, retention, transfers, rights and contacts applicable to the personal data we process.
12.4 Accepting these Terms does not constitute consent to optional marketing messages. Where consent is required, we will request it separately and allow you to withdraw it.
12.5 We do not collect passport numbers, passport images or other passport identification details through LinguaFlex onboarding.
Where the School requires documentary proof of legal eligibility, you provide it directly to the School.
LinguaFlex retains only the declarations, necessary verification status and related operational information it needs.
12.6 Each Partner School acts as a separate data controller for personal data that it collects directly for its own independently determined admission, academic, safety or legal-compliance purposes.
13. Account suspension, misuse and closure
13.1 We may temporarily suspend or restrict an account where reasonably necessary for suspected fraud, payment abuse, serious security concerns, Credit misuse or a material breach of these Terms.
13.2 Unless genuine security reasons or legal restrictions prevent this, we will explain material account restrictions and give you a reasonable opportunity to respond.
We will review restrictions and remove them when they are no longer justified.
13.3 You may request account closure by contacting us.
Before closing your account, we will tell you about any remaining bookings and Credits, where practicable.
Closing an account at your request does not, by itself, create a voluntary refund right for unused Credits.
13.4 If LinguaFlex permanently closes your account for reasons not attributable to your material breach, fraud or misuse, and valid prepaid entitlements can no longer be used, we will refund the affected unused Credits at their attributable Credit Price.
14. Our liability to you
14.1 We are not responsible for:
(a) loss or damage that was not foreseeable when the contract was made. Loss is foreseeable if it was an obvious consequence of our breach or if both you and we knew it might happen when the contract was made;
(b) business losses, including loss of profit, revenue or business opportunity. Our service is for your personal use only;
(c) loss caused by your breach of these Terms; or
(d) delays or failures caused by events outside our reasonable control (see clause 16).
14.2 Our total liability to you in connection with a Lesson Credit package is limited to the price you paid for that package.
14.3 Each Partner School is responsible for its own premises and for complying with its own health, safety and safeguarding obligations.
14.4 Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by law.
15. Changes to these Terms, governing law and our details
15.1 We may change these Terms for legal, regulatory, security or operational reasons. The version in force at the time of each purchase or booking applies to it.
15.2 If a change would significantly reduce your rights in Credits you have already bought, we will email you at least 30 days before it takes effect. If you do not accept the change, you may end your contract before it takes effect and we will refund your unused Credits at their Credit Price. Shorter notice may apply where a change is required urgently by law or for security reasons.
15.3 These Terms are governed by the law of England and Wales. The courts of England and Wales have jurisdiction, except that the courts of Scotland or Northern Ireland also have jurisdiction if you live there.
15.4 Our business details are:
Trading name: LinguaFlex
Legal entity: LINGUATALKS LTD
Registered in: England and Wales
Company number: 16684217
Registered office: 167 King Street, London, England, W6 9JT
Support email: support@linguaflex.co.uk
16. Events outside our reasonable control
16.1 Events genuinely outside our reasonable control may prevent or delay a confirmed class. Such events may include severe weather, fire, flooding or significant public emergencies.
16.2 If a confirmed class cannot be provided because of such an event, we will notify you where reasonably practicable and restore its Credits.
16.3 If events outside our reasonable control make all Eligible Classes throughout LinguaFlex genuinely unavailable for more than 30 consecutive days, you may request termination of the affected prepaid service and a refund of its unused attributable value.
We will provide an agreed refund without undue delay, normally within 14 days.
17. Service interruption or cessation
17.1 If LinguaFlex permanently ceases providing the contracted tuition service, or no Eligible Classes are available throughout LinguaFlex for more than 30 consecutive days for reasons within our control, we will notify affected Students and refund the unfulfilled prepaid service at its attributable purchase value.
An agreed refund will be made without undue delay, normally within 14 days.
18. General
18.1 Third parties. Only you and we have rights under these Terms. No other person may enforce them under the Contracts (Rights of Third Parties) Act 1999.
18.2 Invalid terms. If a court decides that any part of these Terms is invalid, the rest of these Terms will continue to apply.
18.3 Transfer by us. We may transfer our rights and obligations under these Terms to another organisation. We will tell you if this happens. If the transfer significantly reduces your rights, you may end the contract and we will refund your unused Credits at their Credit Price.
18.4 No waiver. If we do not insist immediately that you do something you are required to do, or we delay taking steps against you, this does not stop us from doing so later.
18.5 Notices. We send notices to the email address in your account, which you must keep up to date. A notice sent by email is treated as received when sent, unless we receive a delivery failure message.
